PTA Grants Conditional Approval for Telenor Pakistan–Ufone Merger

Pakistan’s telecom industry is moving toward a major structural shift as the Pakistan Telecommunication Authority (PTA) has granted a conditional No Objection Certificate (NOC) for the merger of Telenor Pakistan with Pak Telecom Mobile Limited (PTML), the operator of Ufone.

The approval comes after both telecom companies submitted the required unconditional consent requested earlier by the regulator. With this key requirement fulfilled, the PTA has now allowed the merger process to proceed, subject to specific regulatory conditions designed to ensure compliance and market stability.

This development marks a significant step toward consolidation in Pakistan’s competitive telecom sector. The merger will enable the transfer of telecom licenses and pave the way for operational integration between Telenor Pakistan and Ufone, potentially reshaping service delivery, network infrastructure, and customer offerings.

The move is expected to create stronger operational synergies, improve network coverage, and enhance service quality for millions of users. Industry experts believe that consolidation could also help telecom operators better manage rising operational costs and invest more efficiently in next-generation technologies.

At the same time, regulatory oversight remains crucial. The PTA’s conditional approval ensures that the merger aligns with national telecom policies, safeguards consumer interests, and maintains fair competition within the market.

The announcement has also been formally disclosed to the Pakistan Stock Exchange (PSX), reinforcing transparency and adherence to corporate governance standards. This disclosure keeps investors informed while signaling confidence in the regulatory process.

As the merger progresses, stakeholders will closely monitor how the integration unfolds and what it means for pricing, competition, and digital connectivity in Pakistan.
